1. Agreement to Terms

By accessing or using the website and services available at scalify.ai (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform. These Terms constitute a legally binding agreement between you ("Client," "you," or "your") and Scalify Media, LLC, a Florida limited liability company ("Scalify," "we," "us," or "our").

2. Description of Services

Scalify.ai is a done-for-you website ordering platform that allows business owners and individuals to purchase professional, custom-built websites. Services may include, but are not limited to:

Custom website design and development
Website delivery and deployment
Revision rounds as specified in your order
Optional add-on services (copywriting, SEO setup, hosting configuration, etc.)

The specific scope of services, deliverables, timelines, and pricing are defined at the time of purchase or in a separate order summary provided to you.

3. Eligibility

You must be at least 18 years of age and capable of entering into a legally binding contract to use our Platform. By using Scalify.ai, you represent and warrant that you meet these requirements.

4. Orders and Payment

4.1 Placing an Order. When you place an order through Scalify.ai, you are making an offer to purchase services subject to these Terms. We reserve the right to accept or decline any order at our discretion.

4.2 Payment. Full payment or a deposit (as indicated at checkout) is required before work begins. We accept payment via Stripe and other methods displayed at checkout. All prices are listed in U.S. dollars unless otherwise stated.

4.3 International Payments. For international wire transfers or alternative payment methods, additional fees may apply. You are responsible for any bank fees, currency conversion costs, or wire charges associated with your payment.

4.4 No Refunds After Work Begins. Due to the custom nature of our services, all sales are final once work has commenced. If you cancel before work begins, you may be eligible for a refund at our discretion, minus any processing fees. Refund requests must be submitted in writing to support@scalify.ai.

5. Project Process and Timelines

5.1 Kickoff. Work begins after payment is received and all required intake information is submitted by you.

5.2 Client Responsibilities. Timely delivery of your project depends on your cooperation. You agree to provide necessary materials (logos, copy, brand assets, login credentials, etc.) in a timely manner. Delays caused by your failure to provide requested materials may extend your project timeline without penalty to Scalify.

5.3 Revisions. Your order includes the number of revision rounds specified at the time of purchase. Additional revisions beyond the included scope may be billed at our standard hourly rate.

5.4 Delivery. Estimated delivery timelines are provided in good faith and are not guaranteed. Scalify is not liable for delays caused by third-party platforms, hosting providers, or circumstances beyond our reasonable control.

6. Intellectual Property

6.1 Ownership Upon Full Payment. Upon receipt of full payment, you own the final deliverables created specifically for your project (the "Work Product"), including design files and code, subject to Section 6.2 below.

6.2 Third-Party Components. The Work Product may include third-party themes, plugins, fonts, stock imagery, or open-source libraries. These components are subject to their respective licenses, and ownership or usage rights are governed accordingly. Scalify is not responsible for any licensing violations arising from your subsequent use of third-party components.

6.3 Scalify Portfolio Rights. You grant Scalify a non-exclusive, perpetual, royalty-free license to display your completed website in our portfolio, case studies, and marketing materials, unless you notify us in writing at the time of project completion that you wish to opt out.

6.4 Pre-Existing IP. Scalify retains ownership of all pre-existing tools, frameworks, templates, processes, and methodologies used in delivering your project.

7. Confidentiality

Each party agrees to keep confidential any non-public, proprietary information shared by the other party in connection with the services. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

8. Representations and Warranties

You represent and warrant that:

You have the authority to enter into these Terms on behalf of yourself or your business;
All materials you provide to Scalify (including logos, images, and copy) are owned by you or you have the legal right to use them;
Your website will not be used for any unlawful purpose or in violation of any applicable law or regulation.

9. Disclaimer of Warranties

THE PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SCALIFY DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SCALIFY MEDIA, LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR LOSS OF BUSINESS, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO SCALIFY IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Scalify Media, LLC and its members, managers, employees, and contractors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform or services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content or materials you provide to Scalify.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration administered in Miami-Dade County, Florida, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction. You waive any right to a jury trial or to participate in a class action.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised "Last Updated" date. Your continued use of the Platform following any changes constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.

14. Termination

We reserve the right to suspend or terminate your access to the Platform at any time, with or without cause or notice. Upon termination, any provisions of these Terms that by their nature should survive termination shall remain in effect.

15. Entire Agreement

These Terms, together with any order confirmation or project agreement provided at the time of purchase, constitute the entire agreement between you and Scalify Media, LLC with respect to the subject matter herein and supersede all prior agreements and understandings.
